UNIFY CORPORATION RELEASES
PRELIMINARY SECOND QUARTER RESULTS

San Jose, CA, November 4, 1996 - Unify Corporation (NASDAQ:UNFY), today announced that it expects revenues and net income for the second fiscal quarter ended October 31, 1996 to be below expectations. Based on preliminary results, second quarter revenues are estimated to be approximately $7.2 million. The Company expects it will incur a pretax loss for the second fiscal quarter of approximately $1.8 million. The Company does not expect to record any tax benefit on this loss and expects to report a net loss of approximately $0.22 per share. Second quarter results will be released after the market closes on Monday, November 18, 1996.

"Revenue from our traditional lines of business was largely in line with expectations. However, we are seeing longer sales cycles and larger potential transaction sizes which adversely impacted our graphical product results this quarter. These factors make it difficult for us to predict the timing of these deals," commented Reza Mikailli, Chief Executive Officer. In addition, Unify also announced that James C. Fleming, Vice President, Worldwide Sales, is no longer with the company. Until a successor is named, Reza Mikailli will assume his duties.
